Agreement to Terms

By clicking to accept these Terms, creating an account, accepting an invite, submitting a form that links to these Terms, or otherwise accessing or using the CloseBoth website and services after being given notice of these Terms, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.

Services

CloseBoth provides educational resources and services for licensed real estate professionals interested in dual licensing as mortgage loan originators. We are not a mortgage lender, bank, or financial advisor. Any mortgage lending services are provided by independently licensed mortgage companies and loan originators.

Intellectual Property and Limited License

The services, including their software, source and object code, designs, interfaces, text, graphics, documentation, databases, workflows, features, functionality, selection and arrangement of content, and look and feel, are owned by CloseBoth or its licensors and are protected by intellectual property and other applicable laws. This does not include information or content that users submit to the services ("User Content").

Subject to your compliance with these Terms, CloseBoth grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use the services solely for your authorized internal business purposes. No other rights are granted, whether by implication, estoppel, or otherwise.

As between you and CloseBoth, you retain any rights you have in your User Content. You grant CloseBoth the limited rights necessary to host, process, transmit, secure, and otherwise use User Content to provide and operate the services as described in our Privacy Policy.

Restrictions on Use

Except with CloseBoth's prior written permission, you may not, and may not permit or assist another person to:

• Copy, reproduce, modify, adapt, translate, distribute, sell, lease, sublicense, publicly display, or create derivative works from any part of the services, except for your own User Content or authorized exports
• Reverse engineer, decompile, disassemble, decode, decrypt, or otherwise attempt to discover or derive any source code, object code, algorithms, models, data structures, nonpublic APIs, underlying logic, or other nonpublic components of the services
• Use the services or nonpublic information obtained through the services to design, develop, train, test, improve, support, or commercialize a product or service that is substantially similar to or competes with the services
• Access or use the services for benchmarking, competitive analysis, or publication of performance or security testing results without our prior written permission
• Use bots, crawlers, scrapers, data-mining tools, or other automated means to access, extract, copy, or monitor the services without our prior written permission
• Bypass or interfere with authentication, access controls, rate limits, security measures, or technical restrictions
• Remove or obscure copyright, trademark, confidentiality, or other proprietary notices
• Access another user's account or information without authorization

These restrictions apply only to the maximum extent permitted by applicable law. Nothing in these Terms restricts a right that applicable law makes non-waivable. Any legally permitted activity remains subject to laws governing unauthorized access, privacy, security, intellectual property, and confidential information.

Consent to Contact

By submitting your contact information through our forms, you consent to receive communications from CloseBoth via phone, text message, email, or other methods using the contact information you provide.

You may revoke this consent at any time by contacting us at hello@closeboth.com.

Invite-Only Access

Access to CloseBoth is by invitation only. Invite codes are single-use and non-transferable. By accepting an invite and creating an account, you agree to these Terms.

Accounts

You may create an account using an email and password or by signing in with Google. When signing in with Google, we receive your name and email address from your Google account. You are responsible for maintaining the security of your account credentials.

Platform Data

CloseBoth provides tools for tracking licensing progress, managing invitations, and logging deal activity. Information you enter into the platform is stored to provide these services. CloseBoth is not a mortgage lender and does not process loan applications or make lending decisions.

Contact Information You Add

When you add another person's contact information to the services, you represent that you have the lawful right to provide it and have given any notice or obtained any consent required by applicable law.

CloseBoth does not sell, rent, trade, or disclose for monetary or other valuable consideration contact information that users add to the services. We do not provide that information to data brokers, lead sellers, advertisers, or other third parties for their independent marketing. We may process and disclose it only as necessary to provide and secure the services, carry out the workflow you selected, support authorized platform users, work with service providers, comply with law, and as otherwise described in our Privacy Policy.

User Responsibilities

You agree to:

• Provide accurate and truthful information when using our forms
• Not use our services for any unlawful or unauthorized purpose
• Not submit contact information belonging to another person without their consent

Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that any particular real estate outcome, transaction, or result will occur. All real estate transactions involve risk and are subject to market conditions.

Limitation of Liability

To the fullest extent permitted by law, CloseBoth shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services or any real estate transaction facilitated through our platform.

Governing Law and Venue

These Terms and any dispute arising out of or relating to them or to your use of the CloseBoth website or services are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles.

You agree that any such dispute will be brought exclusively in the state or federal courts located in North Carolina, and you consent to the personal jurisdiction of those courts. The website and services are intended for users located in the United States.

Before filing a lawsuit, you agree to first attempt to resolve the dispute informally by contacting us at hello@closeboth.com and giving us at least 30 days to respond.

Changes to Terms

We may modify these Terms from time to time. Revised Terms will identify their effective date. For material changes, we will provide reasonable advance notice through the services, by email to the address associated with your account, or by another reasonably conspicuous method. Except when an earlier effective date is reasonably necessary to comply with law or address an urgent security issue, material changes will become effective no sooner than 30 days after notice.

Changes will apply prospectively and will not alter rights or obligations that arose before their effective date unless expressly stated and permitted by law. Your continued use of the services after the effective date constitutes acceptance of the revised Terms to the extent permitted by law. If you do not agree, you must stop using the services and may contact us to close your account. We may require affirmative acceptance of material changes before permitting further use of the services.
